These Terms of Service (“Terms”) govern your use of the website heureuxit.com and any services provided by Heureux IT (“we,” “us,” or “our”). By using our website, contacting us, or engaging our services, you agree to these Terms.

1. Our services

We provide paid advertising, SEO, landing page and related digital marketing services. The specific scope, deliverables and fees for any engagement are set out in a separate proposal or agreement, which takes precedence over these Terms where they conflict.

2. Engagement, fees and payment

Our services are month to month with no long-term lock-in unless agreed otherwise in writing. Fees, billing cycle and payment terms are stated in your proposal. Advertising spend paid to platforms such as Google and Meta is separate from our management fee and is billed to you by those platforms directly, unless agreed otherwise.

3. Client responsibilities

  • Provide timely access to accounts, assets, and information we need to deliver the work.
  • Ensure any materials you supply are accurate and do not infringe third-party rights.
  • Comply with the policies of the advertising platforms used in your campaigns.

4. Third-party platforms

Our services rely on third-party platforms including Google Ads, Meta, Google Analytics and others. We are not responsible for changes, outages, account suspensions or policy decisions made by those platforms, though we will work with you to resolve issues where we can.

5. No guarantee of results

Digital marketing involves factors outside our control. While we work to improve your results and offer the guarantee described in your proposal, we do not guarantee specific rankings, lead volumes, revenue or return on ad spend unless expressly stated in writing.

6. Intellectual property

You retain ownership of your brand assets and the accounts we manage on your behalf. Work we create for you becomes yours on full payment for that work. We retain ownership of our own tools, templates, and methods, and may use general, non-confidential learnings to improve our services.

7. Confidentiality

Each party agrees to keep the other’s non-public business information confidential and to use it only to perform the engagement.

8. Term and termination

Either party may end a month-to-month engagement with the notice period stated in your proposal. On termination, you remain responsible for fees for services performed up to the end of the notice period, and we will hand back access and assets that belong to you.

9. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim arising from our services is limited to the fees you paid us for the month in which the claim arose. We are not liable for indirect, incidental or consequential losses, including lost profits or ad spend.

10. Indemnification

You agree to indemnify us against claims arising from materials you provide, your products or services, or your breach of these Terms or platform policies.

11. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.

12. Changes to these Terms

We may update these Terms from time to time. The “last updated” date above shows the current version. Continued use of our website or services means you accept the updated Terms.
